Accomplishments

Mr. Lewin is skilled in structuring and negotiating transactions involving mergers and acquisitions, including leveraged buy-outs, venture capital financing and preparation of acquisition agreements and related documents. He has represented buyers, sellers and lenders in stock and assert transactions. He has represented and counseled clients in structuring, organizing and operating businesses as corporations and unincorporated business organizations, including partnerships and limited liability companies. Mr. Lewin has represented public and private corporations and partnerships in numerous securities and corporate finance matters. He has represented the issuer in numerous initial public offerings. He has extensive experience in structuring and preparing various types of private securities offerings, including start-up and mezzanine offerings for business enterprises and real estate syndications. He has represented both franchisers and franchisees in numerous transactions, preparing and negotiating franchise agreements and franchise disclosure documentation.
